These Terms apply to all visitors, clients, and prospective clients (collectively, “Users”). Our services are strictly intended for business-to-business (B2B) engagements and commercial entities.
Elias Kreidy operates as a strategic business consultant and “Profit Architect,” providing systems analysis, operational strategies, and revenue infrastructure consulting.
No Guarantee of Results: We provide high-level methodologies designed to optimize business performance. However, every business is different. We do not guarantee, promise, or warrant any specific financial outcome, revenue milestone, or profit margin. Your success depends entirely on your own business acumen, market conditions, team execution, and dedication. Any financial numbers or case studies discussed on our Site or during audits are illustrative projections or past results, not guarantees of your future performance.
Not Financial or Legal Advice: We provide operational and strategic consulting. We are not acting as licensed certified public accountants (CPAs), registered investment advisors, or attorneys. You are solely responsible for seeking independent financial, tax, or legal counsel regarding your business operations.
To perform an accurate Diagnostic Audit or operational sprint, we require access to your current business data (e.g., revenue claims, profit margins, team structures). You agree to provide truthful, accurate, and complete information. We are not liable for strategic misalignments or losses resulting from inaccurate, withheld, or misleading data provided by you or your team.
All content, frameworks, methodologies, diagrams (including our “Chaos vs. System” architecture), video sales letters (VSLs), Statement of Work (SOW) templates, and consulting structures provided on the Site or during our engagements are the exclusive intellectual property of Elias Kreidy.
You are granted a limited, non-exclusive, non-transferable license to use the materials provided to you solely for your internal business operations. You may not copy, reproduce, distribute, sell, or teach our proprietary frameworks to third parties without our explicit, written consent.
Given the high-level, proprietary nature of our consulting and intellectual property, the following payment terms apply unless otherwise specified in your custom Statement of Work (SOW):
Consulting Fees: Fees for Diagnostic Audits, Sprints, or Parallel Engine builds will be invoiced via our secure payment portals (e.g., Wave, Stripe).
Non-Refundable: All deposits and consulting fees are strictly non-refundable once intellectual property, strategy, or time has been delivered.
Rescheduling: If you need to reschedule a booked Diagnostic Audit, you must provide at least 24 hours’ notice.
To the maximum extent permitted by applicable law, Elias Kreidy and his affiliates, contractors, or agents shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of our Site or implementation of our consulting advice.
This includes, but is not limited to, loss of profits, loss of data, business interruption, or loss of goodwill. Our maximum aggregate liability for any claim arising out of your engagement with us shall not exceed the total amount you paid us for the specific consulting service in the three (3) months preceding the claim.
You agree to indemnify, defend, and hold harmless Elias Kreidy from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt (including attorney’s fees) arising from: (i) your use of and access to the Site or services; (ii) your violation of any term of these Terms & Conditions; or (iii) your implementation of any strategies or systems into your business.
These Terms & Conditions shall be governed by and construed in accordance with the laws of Lebanon, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Beirut, Lebanon.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Significant changes will be reflected by an updated “Effective Date” at the top of this page. Your continued use of the Site or our services following any changes constitutes acceptance of those changes.
